Why Procore Acquired DroneDeploy for $845m
They're building the management layer for construction robotics.
This week, news emerged that Procore was acquiring DroneDeploy for $845m in cash.
According to their earnings call, it was a 10.8x multiple on their trailing 12 month revenue ($78m).
To understand why, I reviewed Procore’s Q2 Earnings Webcast where they explained the acquisition, their AI strategy and how they will evolve as the job site becomes increasingly automated. I highly recommend viewing or reading the transcript.
The most interesting comment came from Procore CEO Ajei Copal:
“What DroneDeploy brings to the table is they understand how to manage robots.”
It highlighted their broader vision to become the management layer for human-machine job sites.
Here’s what they said (quotes are from the transcript) with my comments added on how it relates to other AI related thesis being published in the market and what their vision for the future construction management means.

Procore’s CEO transition
In November 2025, Procore appointed Ajei Gopal as the new CEO after Tooey Courtemanche who was the founder.
Gopal has 35 years of experience leading global technology companies, most recently as the President and CEO of Ansys, a developer of engineering simulation software. Under his tenure it tripled revenue, quadrupled its market value and joined the ranks of S&P 500 and Nasdaq 100 and was ultimately acquired by Synopsys in 2025 for ~$35 billion.
In the first nine months of his tenure, Procore has made two acquisitions, Datagrid and DroneDeploy for a combined $1.035b.
Procore’s Technology Strategy
In Ajei’s words, their technology strategy is anchored on four key pillars:

The last point is important to understand in the context of their AI strategy.
Building on this foundation, we are now integrating AI into our platform’s core to address the industry’s most pressing challenges, including a labor shortage of nearly 350,000 workers in the U.S. alone. Our AI-powered digital coworkers are designed to bridge this gap by delivering purpose-built capabilities for every project stakeholder.
Their vision isn’t to be a ‘System of Collaboration’ or a ‘System of Record’ where data is kept and stored, it is to be a ‘System of Action’ where their software is able to execute workflows. This is explained in detail below.
What is DroneDeploy?
DroneDeploy is a leader in reality capture, robotic automation and ‘visual intelligence.’ In Procore’s words:
DroneDeploy bridges the physical construction site with the digital world, delivering critical real-time visibility into job site activity. While its name reflects its origins in drone-based imaging, the company has evolved over the last 13 years into a fully unified platform for three-dimensional ground and aerial imaging, spanning drones to ground-deployed robots, as well as mobile, fixed, and wearable cameras.
Their differentiation comes from an early insight the founders had when building their product. According to Emergence Capital, who led their Series A round in 2015, in robotics, the underlying technology isn’t the hardest part. Rather, it is the assembly. That involves taking a robot from a demo to working day to day on a job site.
Recognizing this, DroneDeploy opted for a software first approach that any drone maker could plug into. It was in contrast to most other commercial drone companies which chose to build a full-stack solution that included software and their own hardware.
The value of this approach is that they benefited from the drone’s falling hardware costs and instead of competing, they focused on building software to help drones operate and capture data on jobsites.
Acquisition Strategy
Procore’s acquisition has a near term and a long term strategy. This can be broken down into four parts:

Near Term Revenue
DroneDeploy is being used on over “3 million job sites across more than 180 countries” and brought in $78m in revenue in the last 12 months.
The near term opportunity for Procore to start cross selling and upselling to their customer bases.
we plan to immediately cross-sell DroneDeploy solutions into our broader customer base and vice versa…We already share nearly 600 mutual customers…Beyond this overlap, we estimate that there are several thousand existing customers of Procore who could benefit from a combined offering.
They’ll be able to cross-sell effectively as they are building off their existing base:
we have market-tested integrations that joint customers are using today. Soon as the transaction closes, we intend to rapidly build on those integrations to deliver AI-enabled, intelligent, multimodal capture via cameras, drones, and robots, deeply integrated into the Procore platform.
And importantly:
Procore and DroneDeploy offer complementary solutions that do not overlap.
Finally it is important to note that DroneDeploy has a duality in customers:
they’re also being used by companies that I would classify as being owners in our category…DroneDeploy is able to sell to both owners as well people who are actually performing the build on the ground. The technology is very consistent with our end market view of owners and builders.
This is of increasing interest and opportunity to Procore as two years ago they launched an Owner specific offering and in January gained FedRAMP authorization for their Procore for Government offering.
We have expanded over the years, and if you look at our business from…owners and subs represented, I would say maybe 40% of our business thereabout…initially we were focused on the general contractor space
…We have a solution we just recently launched for owners around portfolio management and capital planning, and that’s specifically targeting the owners.
AI Strategy
Procore’s vision is to support autonomous work completion and act as a System of Action. Their early challenge has been they don’t own the authoring workflow which limits the value of their digital coworkers:
during a job site inspection, a supervisor manually took videos of a column to share with stakeholders. An early incarnation of a Procore digital coworker analyzed the audio and visual cues and the specifications, determined that the column had been coded incorrectly and ordered remediation.
With DroneDeploy:
the manual job site inspection and logging of observations will no longer be the trigger. Instead, a multimodal perception capability driven by a range of cameras, drones, robots, and other devices will regularly evaluate the construction site and automatically initiate any appropriate response securely, compliantly, and in the right context.
This ties back to the AI for Construction: Industry Report we collaborated on with Zacua Ventures, a construction tech focused venture capital firm.
The premise is that in an era where AI can write code, software features are no longer defensible. The competitive advantage depends on:
Owning the Authoring Workflow
Capturing data at the moment of creation (e.g through voice, images or site interactions) rather than analyzing it after it has been entered into secondary tools.Workflow Substitution
Systems that replace the need to open a tool entirely by owning the final outcome, such as filing a permit or updating a schedule, rather than merely augmenting a task.
Without the DroneDeploy acquisition, Procore faced an erosion of its traditional moat. For example they shared:
DroneDeploy has recently developed three AI agents to enable customers to track progress, flag safety risks, and monitor asset conditions. These agents, which are in the early stages of commercialization, are intended to optimize entire workflows.
By acquiring DroneDeploy, Procore gains ownership of the authoring layer, the point where construction data is first created. This positions the company to redesign downstream workflows around AI rather than manual software interaction.
Had DroneDeploy remained independent, there is a plausible path where it could have expanded beyond data capture to become the primary interface for construction operations. Instead of asking users to create an observation or incident in Procore, an AI agent could identify the issue, generate the record, notify stakeholders, and trigger follow-up actions automatically.
As more work is completed before users ever open a System of Record, user interaction declines, product stickiness weakens, and the owner of the authoring layer has the opportunity to become the primary customer relationship.
Importantly, with the Datagrid in January, Procore has the capability to rapidly deploy AI. As they noted:
In the last week, we’ve expanded our library of pre-built digital coworkers to 20 AI agents purpose-built for construction.
It’s valuable as:
[Their] product enables customers to use construction-specific AI natively and with full context within their existing Procore environment.
Visual Intelligence
One of the key capabilities provided by DroneDeploy is visual intelligence:
Their technology is essentially rooted in AI and machine learning around visual intelligence. It’s about being able to capture images, whether they be from drones or robots or other kind of cameras, being able to capture those images, process them, and evaluate them.
This complements Procore’s acquisitions of Novorender and FlyPaper in May of last year, which brought BIM visualization and 3D coordination capabilities. Together, these technologies connect design intent with site reality, allowing teams to compare the model against field conditions, detect clashes, create issues, and assign work from a single workflow.
More importantly, the acquisition provides them access to a unique visual dataset:
Data is the lifeblood for AI. Access to relevant data separates a proof of concept from a mission-critical AI offering. DroneDeploy has captured 20 trillion square feet of visual construction data
…That data includes tens of millions of user-generated annotations, image segmentation, construction progress labeling, and well over 100,000 labeled safety issues. That data will enable us to create smarter AI solutions that solve genuinely meaningful problems in construction.
When combined with capability from the Datagrid team, they believe they can become the leader in processing data. This is important because as robotics adoption on site grows, the volume of machine-generated visual data will continue to grow.
Procore is positioning itself not only to store that information, but to interpret it and orchestrate the workflows that follow.
Robotics Opportunity
Procore sees construction management as evolving into robotics management:
We see ourselves from construction management as being able to expand broadly into, as and when the industry is ready, into the management of robots and robotics. We don’t see ourselves as building robots. That’s not our business. We certainly see ourselves in the management space.
This is in keeping with the Software First thesis that DroneDeploy is focused on:
What DroneDeploy brings to the table is they understand how to manage robots. Part of their technology is the management of robots and management of drones and robots in these environments. People are using robotic cameras, for example, or drones. Being able to manage them so that you essentially have autonomous activity on the construction site is an important aspect.
The value is that Procore has the opportunity to become the robotics enabling layer.
Rather than controlling the low-level operation of robots, Procore’s role is to manage the mission. It can schedule or direct autonomous activities, define objectives, ingest the resulting data and orchestrate the workflows that follow, while the robot itself determines how to safely complete the task. This is similar to the relationship between a general contractor and a subcontractor. The general contractor defines what needs to be done and when, while the subcontractor determines how to execute the work.
This capability is becoming increasingly important as robots generate vast amounts of site data. A mobile robot equipped with LiDAR, for example, can upload as much as 50 GB per hour. Procore can ingest that information, identify relevant events, execute downstream workflows, and coordinate activity across the project.
One example they shared is:
I want to make sure that I get exactly the same at exactly the same time and exactly the same path. I want to follow and get a perspective of exactly what’s happened on that day. At 5:00 every evening, or every afternoon, I’d like to understand what happened. Well, that’s a predetermined, pre-scheduled activity, and DroneDeploy has the technology to be able to do that as a simple example.
This extends further as autonomous equipment, such as excavators, becomes commonplace on construction sites. As these systems generate real-time data, Procore can automatically trigger downstream workflows such as:
Excavation completed → Notify the engineering designer to inspect the excavation and clear the hold point.
Unexpected underground utility detected → Automatically create an RFI with:
Expected design and BIM model conditions.
Surveyed site conditions.
Supporting imagery from drones or robotic cameras.
End of day confirmation → Automatically generate the daily site log using imagery captured by drones, fixed cameras, and robots.
As construction becomes increasingly instrumented and collaborative with robotics, driven by the growing labor shortage, project management shifts from coordinating human-entered information to managing a continuous stream of machine-generated events.
The capability to ingest, understand and take action on this data is a large opportunity, and Procore is positioning itself to be the platform to manage this, ingesting the data machines generate, orchestrating the workflows that follow, and potentially communicating with autonomous machines (e.g. the robotic subcontractor) about what should be done and when.
In this world, construction management becomes a collaborative system where humans provide oversight, judgement, and decision making, while AI agents and autonomous machines capture information, complete routine tasks, and initiate workflows.
And Procore’s vision is to become the hardware-agnostic construction management system for human-machine job sites.
